Terms of Service — Dom Downing

1. Who we are

The Dom Downing practice, including the YoU.nified Business Method™ advisory methodology, is operated by The Best YoU.niversity LLC ("we," "us," or "our"). By engaging our services or using this website, you ("Client" or "you") agree to these Terms of Service.

2. Services

We provide business advisory, strategic, and operational advisory services for established, owner-led service businesses. The specific scope, deliverables, and fees for any engagement are set out in a separate written proposal, statement of work, or order form. In the event of a conflict, that document controls over these Terms.

3. Fees and payment

Fees are stated in your engagement agreement or written proposal. Unless stated otherwise, invoices are due upon receipt. Recurring engagements have minimum term commitments as published.

4. Confidentiality

We treat non-public information you share with us as confidential and use it only to perform the services. You agree not to share our proprietary materials, frameworks, or templates outside your organization without permission.

5. No guarantee of results

We bring experience, frameworks, and judgment — but business outcomes depend on factors outside our control, including your team's execution. We do not guarantee specific revenue, growth, or financial results.

6. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to the services will not exceed the fees you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate an engagement in accordance with the notice terms in the applicable proposal or statement of work. Fees earned through the termination date remain payable.

8. Governing law

These Terms are governed by the laws of the state in which The Best YoU.niversity LLC is organized, without regard to conflict-of-laws principles.
